Seth Flaum is a strategic adviser to life sciences and healthcare technology companies on high-stakes transactions and growth initiatives worldwide. For more than 25 years, he has represented public and private clients across the life sciences life cycle, from startups to multinational pharmaceutical companies, including biotechnology, medical device, diagnostics, digital health, and artificial intelligence (AI) companies, as well as private equity funds. He leads transactions such as licenses, asset purchases, collaborations, and joint ventures, together with research and development (R&D), commercialization, co-promotion, profit-sharing, manufacturing, and supply agreements.
Much of Seth’s work is cross-border, spanning the United States, Europe, Asia, and the Middle East. He is widely recognized for his Japan practice, advising Japanese companies expanding abroad and companies doing business in Japan with Japanese partners.
Seth previously served as in-house counsel at a large global pharmaceutical company, where he led a team of lawyers and business professionals responsible for intellectual property and business development. That experience gives him a firsthand understanding of the commercial realities that drive dealmaking.
Seth’s practice extends to public and private mergers and acquisitions (M&A), with particular experience in earnouts and contingent value rights agreements, as well as antitrust filings, US Securities and Exchange Commission and Financial Industry Regulatory Authority matters, and corporate governance.
Additionally, Seth counsels senior executives and serves as outside general counsel to companies seeking day-to-day support in running a life sciences business. His combination of international perspective, sector experience, and in-house insight allows him to guide clients from the earliest stages of an opportunity through execution and beyond.
